1. Acceptance of Terms

By accessing this website or engaging Praxis Structures for services, you agree to these Terms & Conditions. If you do not agree, you should not use this website or rely on its materials.

2. Scope of Website Use

Website content is provided for general business information. It does not constitute engineering certification, professional legal advice, or a binding service commitment unless expressly stated in a signed proposal, statement of work, or service agreement.

3. Proposals and Commercial Terms

• All project proposals are subject to written acceptance by both parties.
• Quoted fees are based on the stated scope, deliverables, assumptions, and schedule.
• Changes in project scope, missing inputs, or added deliverables may require revised pricing.
• Unless otherwise stated, quoted lead times begin once all required project information is received.

4. Client Responsibilities

• Provide accurate drawings, specifications, connection criteria, and project data.
• Review deliverables promptly and communicate consolidated comments where possible.
• Confirm that information supplied to Praxis may lawfully be shared for project execution.
• Obtain any approvals, seals, or sign-offs required from the engineer of record or other authorities.

5. Deliverables and Revisions

Deliverables may include Tekla models, shop drawings, BOMs, CNC outputs, coordination files, and other agreed materials. Revisions that fall within the original scope are handled in accordance with the accepted proposal. Additional revisions or post-approval changes may be billed separately.

6. Intellectual Property

Praxis Structures retains ownership of its proprietary workflows, internal standards, templates, automation methods, and the WYOMAA system. Upon full payment of agreed fees, the client receives a project-specific license to use the final deliverables for the relevant project purpose.

7. Payment Terms

Payment timing, milestones, and currency are governed by the accepted proposal or invoice terms. Late payment may result in paused delivery, withheld files, or re-sequencing of the project schedule until account status is resolved.

8. Warranties and Disclaimers

Praxis Structures will perform services using commercially reasonable skill and care. Except as expressly stated in a written agreement, website materials and services are provided on an "as is" and "as available" basis. Final construction suitability, engineering compliance, and field verification remain subject to the responsibilities of the project team and engineer of record.

9. Limitation of Liability

To the maximum extent permitted by law, Praxis Structures will not be liable for indirect, incidental, special, consequential, or lost-profit damages arising from use of the website or project services. Any direct liability, where applicable, will be limited to the fees paid for the specific scope giving rise to the claim, unless a signed agreement states otherwise.

10. Confidentiality

We treat client project information as confidential and use it only for project execution, internal quality control, and service delivery unless disclosure is required by law or expressly authorized by the client.

11. Governing Law and Updates

These Terms & Conditions are governed by the laws applicable to Praxis Structures' contracting entity, unless superseded by a signed commercial agreement. We may update these terms periodically, and the updated effective date will appear on this page.
